When will the fully executed subscription agreement be sent?

The subscription agreement will be sent in a period of ten business days. If there are any AML (anti-money laundering) issues, this process may be delayed.

How does this work?

Our Regulation A+ offering allows you to invest on the ground floor of our company for $10/share.  As a shareholder you are investing in all of the properties reAlpha will acquire and will benefit from the overall performance of the company. The reAlpha app then offers 49% of each property to the reAlpha syndicate members (think of as consumers,) which will bring in another $75M for property buying without diluting you. This means we have the potential to go up to $1.5 billion in assets under management—and, right now, you would be investing at a $400 million pre-money valuation for $10/share.

Do I have to be an accredited investor to invest in reAlpha?

No! Non-accredited investors can invest in reAlpha for just $1,000.

Will Reg A+ investors get early access to invest in individual properties as reAlpha syndicate members?

Yes. Investors also get other perks, such as stays at our properties, dependent upon their investment level, and a portion of their investment going into our reImagine Fund! You can check that out here.

When will the Reg A+ raise close?

SEC qualified offerings allow you 12 months from the date of qualification. So, we have until October 2022, but ideally want to wrap it up as soon as possible in order to focus on business growth.

Can I invest from India?

Yes! You can invest from anywhere in the world. But there are some specific regulations that prevent you from investing through credit cards if you are in India. Please see this blog post to learn how.

How did you come up with your current valuation?

We calculated a pre-money valuation for this round of $400 Million. The $75M of capital will facilitate up to $150M in equity, which will lead to $1.5 billion in AUM—hence a $2.3 billion valuation based on comparable companies. We then calculated NPV, and, based on a discount rate, arrived at $400M pre-money, hence our valuation of $10/share.

How does reAlpha make the best possible buying and selling decisions?

We have a four-step acquisition process that allows us to combine the best of our AI platform, the reAlphaBRAIN, as well as human analysts to make sure that we only buy the highest performing properties.

What are the benefits of investing as a shareholder vs. a normal consumer on the app?

  • Shareholders will benefit from the overall performance of the company (which will be determined, in part, by the performance of all properties.) reAlpha syndicate members only benefit from the individual properties they invest in.
  • Ownership in Reg A+ is buying shares in our entire asset management company, so you will own part of ALL properties that reAlpha Asset Management Inc. buys and will benefit as a shareholder from the performance of the overall company. A syndicate member is only invested in one property (These syndicate members are the consumers that would invest through the app.)

What are the expected returns?

While we cannot assure you of the return on our stock, you can do a comparative analysis on INVH or ABNB using a revenue multiple or AUM metric. For example, ABNB has a revenue multiple of around 24x. You can assess but, we cannot assure you any future valuation numbers. When we did the valuation of our company, we used these kinds of companies to compare in our space based on our $1.5 Billion AUM potential.
